| Edward Carney, Vice President, Rating & Risk Management |

| Mr. Carney joined IHC in 1998 and is Vice President of Rating and Risk
Management. He is responsible for all rating, renewal & risk management
activities for individual, small group and large group. |

| Prior to joining IHC, Mr. Carney served as Vice President in charge of National
Benefit Resources’ fully insured operations from 1995 to 1998. Mr. Carney was
Senior Vice President of Aegon USA’s Group Division from 1990 to 1995,
directing the Division’s actuarial, accounting, information systems, risk
management and premium administration functions. During that time, Mr. Carney
served on Aegon USA’s corporate Information Systems and Human Resources
Committees, which set corporate-wide strategic direction and policies. He spent
the first 20 years of his career at Northwestern National Life Insurance
Company (NWNL) where he served as Director of Group Underwriting Operations,
Director of Group Information Systems and Planning, and Director of Information
Systems Operations. As Director of Group Underwriting, he was responsible for
underwriting and policy issue for NWNL’s fully insured, partially self-funded
and self-insured business including all group life, disability, health and
dental insurance products.

| Mr. Carney earned a Bachelor of Arts degree in Economics and Mathematics from
the University of St. Thomas in St. Paul, Minnesota, and was a member of the
Economics Honor Society. Mr. Carney has served as a member of the Board of
Directors and as President of the Nonalico Federal Credit Union, served
extensively in fund raising capacities for the United Way and the Minnesota
Private College Fund, and has coached for many years in the North Suburban
Soccer Association.
