| Gregory Cohen, General Counsel |
| |
| Gregory Cohen joined IHC in October 2001, as General Counsel. He is responsible
for directing legal and compliance activities, including litigation, contracts,
ERISA, ADA, HIPAA, FMLA, subrogation and state legislative issues. In addition,
Mr. Cohen handles insurance defense matters and contract renewals. |

| Prior to joining IHC, Mr. Cohen spent four years with Health Net of Arizona,
Inc. as Manager of Regulatory and Legal Affairs. In this capacity, Mr. Cohen
coordinated the company’s regulatory compliance activities, managed the
company’s litigation and created the company’s corporate compliance plan. Mr.
Cohen also developed and launched the company’s special investigations unit to
detect and investigate fraudulent activities being committed against the
company. Mr. Cohen’s responsibilities included providing legal services to all
areas of the company. |

| Mr. Cohen started his career in the telecommunications industry where he was
responsible for FCC compliance and contract negotiation and administration at
People’s Choice TV Corp., a company providing wireless, multi-channel video
services. |

| Mr. Cohen graduated from Brandies University, Boston, MA and received his Juris
Doctor from the University of Arizona, College of Law. |
